These Terms of Service (“Terms”) govern access to and use of Adminishvili, including the Adminishvili website, dashboard, connected social-media tools, artificial-intelligence features, subscriptions, and related services (collectively, the “Service”).
The Service is provided by DT Alpha Group LLC, a company registered in Georgia (“Adminishvili,” “we,” “us,” or “our”). Our registration details, legal address, support telephone number, and other contact information are displayed on our Contact page and in the website footer.
By creating an account, starting a free trial, purchasing a subscription or AI Credits, or otherwise using the Service, you agree to these Terms, our Privacy Policy, our Refund and Cancellation Policy, and our Digital Service Delivery Policy. If you do not agree, do not use the Service.
If you use the Service for a company, client, or other organisation, you confirm that you have authority to bind that entity to these Terms. In that case, “you” includes both you and that entity.
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

Available features, limits, supported platforms, and technical requirements may differ by plan and may change as the Service develops. The current plan details are displayed on our Pricing page and during checkout.
Some features depend on third-party platforms, APIs, permissions, and account eligibility. We do not control those third parties and cannot guarantee that every feature will remain available for every connected account.
When you connect a Facebook, Instagram, or other supported account (“Connected Platform”), you authorise Adminishvili to access and process the information and perform the actions that you select, subject to the permissions granted by the Connected Platform.
You confirm that:
You may disconnect a Connected Platform through the available account settings or through that platform’s own settings. Disconnecting may immediately stop related features, scheduled actions, and automations.
Connected Platforms may suspend permissions, change their APIs, impose usage limits, reject content, delay publication, or restrict accounts. Adminishvili is not responsible for actions taken independently by a Connected Platform, but we will use reasonable efforts to explain and address issues within our control.
You retain ownership of content, prompts, messages, media, trademarks, and other materials that you submit to the Service or retrieve from a Connected Platform (“Customer Content”).
You grant Adminishvili a limited, non-exclusive licence to host, copy, process, transmit, display, modify, and otherwise use Customer Content only as reasonably necessary to:
You are responsible for Customer Content and for reviewing content before it is published or sent. You must ensure that Customer Content does not infringe intellectual-property, privacy, publicity, consumer-protection, or other rights.
Adminishvili does not claim ownership of Customer Content. We will not sell Customer Content as our own content.
The Service may use artificial-intelligence models supplied by us or by third-party providers. AI features may generate suggestions, text, images, replies, classifications, or other outputs (“AI Output”).
AI Output can be inaccurate, incomplete, repetitive, inappropriate, or similar to output generated for other users. You are responsible for reviewing AI Output before using, publishing, or relying on it. AI Output is not legal, financial, medical, or other professional advice.
You must not use AI features to generate or distribute unlawful, deceptive, discriminatory, infringing, harmful, or abusive material.
To provide AI features, relevant prompts, instructions, contextual information, and requested content may be transmitted to contracted AI service providers as described in our Privacy Policy. We do not use Customer Content to train a public AI model unless we clearly disclose that practice and obtain any consent required by law.
To the extent permitted by applicable law and subject to third-party rights, you may use AI Output generated for you. We do not guarantee that AI Output is unique or eligible for intellectual-property protection.
Adminishvili offers monthly subscription plans. Current prices, features, account limits, and included monthly AI usage allowances are displayed on the Pricing page and again before you start a trial or place an order.
The amount and currency shown at checkout are the amount and currency you authorise us to charge. Unless the checkout page states otherwise, prices include taxes that Adminishvili is legally required to collect. You are responsible for any other taxes, duties, or bank charges applicable to you.
We may change plan prices or features for future billing periods. If a change affects an existing paid subscription, we will provide reasonable advance notice and explain when it takes effect. Where required by law, you will have the opportunity to cancel before the change applies.
Some plans include a monthly allowance of AI Credits. AI Credits measure eligible AI usage within the Service; they are not money, electronic currency, or a stored-value payment instrument.
The dashboard will show the applicable credit balance and usage. Included monthly credits are made available according to the selected plan. Any rollover, reset, validity, or expiry rules that apply must be displayed on the Pricing page or in the dashboard.
Eligible users may purchase additional AI Credits in the amounts offered in the dashboard. The exact price and number of credits are displayed before payment. Additional AI Credits are delivered digitally after successful payment.
AI Credits:
We may correct a credit balance affected by fraud, a duplicate allocation, a refund, a charge reversal, or a technical error. We will not remove legitimately purchased and unused credits without a valid reason.
Where offered, a new eligible customer may receive a three-day free trial of the selected plan.
To start the trial, you must:
No subscription fee is charged when a valid zero-amount card-registration flow is used to start the trial. The selected plan’s trial features become available after successful card registration and confirmation.
The checkout page will display the exact date and amount of the first scheduled charge. Unless you cancel before the end of the trial, the selected monthly subscription begins automatically when the first payment is successfully charged at the end of the trial.
Trial eligibility may be limited to one trial per person, business, payment method, or related group of accounts. We may refuse or end a trial where we reasonably detect abuse, fraud, duplicate trials, or a violation of these Terms.
By starting a trial with automatic renewal or purchasing a recurring subscription, you authorise Adminishvili to instruct TBC Bank to charge the selected subscription price:
TBC Bank processes card registration and card payments. Adminishvili does not receive or store your full card number or card security code. We may receive a payment token or recurring-payment identifier, masked card information, transaction identifiers, and payment status.
If a charge fails, we may retry the payment as permitted by the payment provider, notify you, limit paid features, or suspend the subscription until payment succeeds. We will not intentionally charge more than the amount disclosed for the selected plan without providing notice and obtaining any consent required by law.
You are responsible for keeping your payment method valid and current.
You may cancel automatic renewal through the subscription or billing section of your dashboard. If the dashboard is unavailable, you may request cancellation by emailing info@adminishvili.com from the address associated with your account.
We will provide an electronic confirmation of cancellation. You should keep that confirmation for your records.
Refunds, payment corrections, and withdrawal requests are governed by our Refund and Cancellation Policy.
Nothing in these Terms limits a right that cannot lawfully be limited. In particular, an eligible consumer may have a statutory right to withdraw from a distance service contract within 14 calendar days from conclusion of the contract, subject to applicable exceptions and conditions. Starting a three-day free trial does not remove a mandatory statutory right.
Where you expressly request immediate access to the Service during an applicable withdrawal period, we may begin providing the Service immediately. Any effect on your withdrawal right will apply only to the extent permitted by law and as explained before checkout.
You must not use, or help another person use, the Service to:
You are responsible for obtaining any consent required before sending marketing communications, processing audience data, or automating responses.
Adminishvili and its licensors own the Service, including its software, interface, design, documentation, branding, and all related intellectual-property rights, excluding Customer Content.
Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal personal or business purposes during your active trial or subscription.
If you provide feedback or suggestions, you permit us to use them without restriction or payment, provided that we do not identify you publicly without permission.
We aim to provide a reliable Service, but do not promise uninterrupted or error-free operation. Maintenance, security events, internet failures, payment-provider issues, Connected Platform changes, and events outside our reasonable control may affect availability.
We may update or discontinue a feature for security, legal, technical, or business reasons. Where a change materially reduces the core paid Service, we will provide reasonable notice when practicable and any remedy required by law.
Beta or experimental features may be changed or discontinued and may be less reliable than generally available features.
We may restrict or suspend access where reasonably necessary to:
Where appropriate, we will notify you and provide a reasonable opportunity to resolve the issue. We may terminate an account for a serious or repeated breach, fraud, unlawful conduct, or conduct that creates material risk.
You may stop using the Service at any time. Cancellation of billing and deletion of the account are separate actions.
On termination, your right to use the Service ends. Sections that by their nature should survive—including payment obligations already incurred, intellectual property, liability provisions, and dispute terms—will continue to apply.
To the maximum extent permitted by law, the Service is provided on an “as available” basis. We do not guarantee:
Nothing in these Terms excludes obligations or warranties that cannot lawfully be excluded.
Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of mandatory consumer rights, or any other liability that cannot legally be limited.
Subject to the paragraph above, Adminishvili will not be liable for indirect, incidental, special, punitive, or consequential loss, or for loss of profits, revenue, goodwill, business opportunity, or data, where such loss was not reasonably foreseeable or was caused by a Connected Platform, your instructions, your content, or your violation of these Terms.
For business users, and to the extent permitted by law, Adminishvili’s total aggregate liability arising from the Service during any 12-month period will not exceed the fees paid by that business user to Adminishvili during the 12 months immediately preceding the event giving rise to the claim.
The business-user limitation above does not restrict the mandatory rights of a consumer.
If you use the Service in the course of a business, you will indemnify Adminishvili against third-party claims, losses, and reasonable costs arising from your unlawful Customer Content, your unauthorised use of a connected account, or your material violation of third-party rights or platform rules. This section does not apply to the extent the claim was caused by Adminishvili’s own breach, negligence, or unlawful conduct, and it does not reduce mandatory consumer rights.
We may update these Terms to reflect changes in law, the Service, security requirements, or business practices. The updated version will show a new “Last updated” date.
If a change materially affects an active paid subscription, we will provide reasonable advance notice by email, dashboard notice, or another durable electronic method. If required by law, you may cancel before the change takes effect.
These Terms are governed by the laws of Georgia, without regard to conflict-of-law principles.
Before filing a claim, please contact info@adminishvili.com so that we can try to resolve the issue in good faith.
The courts of Georgia will have jurisdiction, except where mandatory consumer law gives you the right to bring a claim in another competent court or provides another remedy. Nothing in these Terms restricts your right to contact a competent consumer-protection or data-protection authority.
If a court finds part of these Terms invalid or unenforceable, the remaining provisions will continue to apply.
Our failure to enforce a provision immediately is not a waiver of that provision.
You may not transfer your rights or obligations under these Terms without our consent. We may transfer these Terms as part of a merger, reorganisation, sale of business, or transfer to an affiliate, provided that this does not reduce mandatory rights.
These Terms, together with the policies incorporated by reference and the information shown at checkout, form the agreement between you and Adminishvili regarding the Service.
